1. Acceptance of Terms
By accessing and using the SmartSITT website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Service Scope
SmartSITT provides enterprise IT and telecommunications services, including but not limited to:
- Network infrastructure design and implementation
- Cybersecurity solutions and audits
- Cloud migration and management services
- Custom software development (SmartHR, SmartERP, SmartPOS)
- Managed IT services and 24/7 support
- Data center solutions
- Telecommunications infrastructure
3. Client Obligations
As a client, you agree to:
- Provide accurate and complete information
- Pay agreed fees on time according to payment terms
- Cooperate with technical requirements and implementation timelines
- Not misuse our services or systems
- Comply with all applicable laws and regulations
- Maintain confidentiality of access credentials
- Inform us immediately of any security breaches
4. Intellectual Property
All materials, software, designs, and deliverables provided by SmartSITT remain our intellectual property unless explicitly stated otherwise in a separate written agreement. Clients may not copy, distribute, or modify our proprietary work without express written consent.
Custom Development: For custom software projects, ownership terms will be defined in the project agreement. Typically, clients receive a perpetual license while SmartSITT retains IP rights.
5. Confidentiality
We commit to protecting the confidential information of all clients. We will not disclose your business data except:
- With your explicit consent
- When required by law or legal process
- To necessary service providers (under non-disclosure agreements)
Clients also agree to maintain confidentiality of SmartSITT's proprietary methodologies, pricing, and technical details.
6. Service Warranties
We warrant that our services:
- Will be performed with professional skill and care
- Comply with industry best practices and standards
- Meet the specifications outlined in our service agreements
- Are delivered by qualified and certified professionals

7. Limitations of Liability
SmartSITT shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Data loss resulting from client error or third-party actions
- Service interruptions due to force majeure events
- Unauthorized access by clients' authorized users
- Compatibility issues with third-party software not under our control
Maximum Liability: Our total liability is limited to the fees paid for the specific service in question, up to a maximum of the previous 12 months of fees.
8. Payment Terms
Invoicing: Invoices are issued according to project milestones or monthly billing cycles.
Payment Due: Payment is due within 30 days of invoice date.
Late Payment: Late payments incur a 2% monthly interest charge.
Suspension: Services may be suspended for accounts more than 60 days overdue.
9. Termination
Either party may terminate services with 30 days' written notice. SmartSITT reserves the right to terminate services immediately in case of:
- Non-payment or breach of payment terms
- Violation of these Terms of Service
- Illegal, unethical, or abusive conduct
- Security threats to our infrastructure
Upon Termination: Clients will receive all deliverables completed to date. Outstanding fees remain payable. Data will be returned or securely destroyed per your written request.
10. Indemnification
Clients agree to indemnify SmartSITT against claims arising from:
- Client's misuse of our services
- Violation of third-party intellectual property rights
- Breach of applicable laws or regulations
11. Force Majeure
Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
12. Changes to Terms
We reserve the right to update these Terms of Service. Clients will be notified of material changes via email or through our website. Continued use of services constitutes acceptance of updated terms.
13. Governing Law & Dispute Resolution
Governing Law: These terms are governed by the laws of Libya.
Jurisdiction: Disputes will be resolved in the courts of Tripoli, Libya.
Arbitration: Parties agree to attempt mediation before litigation.
14. Entire Agreement
These Terms of Service, together with any signed service agreements and our Privacy Policy, constitute the entire agreement between SmartSITT and the client.
